Terms & Conditions

These Terms & Conditions (“Agreement”) govern access to and use of services provided by Data Connect API, LLC (“Company,” “we,” “us,” or “our”). By accessing or using our services, you (“Client,” “you,” or “your”) agree to be bound by this Agreement.

1. SERVICES

Data Connect API provides:

API integrations between third-party devices and software systems

Remote lock connectivity and management solutions

Hardware procurement and resale (e.g., smart locks and related devices)

Ongoing support, monitoring, and maintenance services

Services may include access to a hosted platform, APIs, dashboards, and related tools (collectively, the “Services”).

2. ACCOUNT & ACCESS

You agree to:

Provide accurate account and business information

Maintain the confidentiality of login credentials

Be responsible for all activity under your account

We reserve the right to suspend or terminate access if misuse, abuse, or security risks are detected.

3. PRICING & PAYMENTS

3.1 Subscription Fees

Services are billed on a per-door, per-month basis (typically $10–$18 per device unless otherwise agreed).

Pricing may vary based on volume, integrations, or custom configurations.

3.2 Hardware

Hardware (e.g., locks) is sold separately unless bundled.

All hardware sales are final unless otherwise stated in writing.

3.3 Payment Terms

Payments are due in advance unless otherwise agreed.

Late payments may result in:

Service suspension

Additional fees

Termination of service

We reserve the right to update pricing with 30 days’ notice.

4. THIRD-PARTY SYSTEMS

Our Services integrate with third-party providers (e.g., lock manufacturers, property management systems).

You acknowledge:

We do not control third-party systems

Downtime, API changes, or failures from third parties are outside our control

We are not liable for disruptions caused by third-party providers

5. CLIENT RESPONSIBILITIES

You are responsible for:

Proper installation and maintenance of hardware

Ensuring network connectivity and infrastructure

Compliance with local laws, including tenant and data privacy regulations

Improper setup or misuse may impact system performance and is not the responsibility of Data Connect API.

6. DATA & SECURITY

We take reasonable measures to protect system data; however:

We do not guarantee uninterrupted or error-free service

You are responsible for securing your internal systems and credentials

We are not liable for breaches resulting from:

Weak passwords

Unauthorized access to your systems

Third-party vulnerabilities

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

We are not liable for indirect, incidental, or consequential damages, including:

Loss of revenue

Loss of access

Property damage related to lock failures or misuse

Our total liability is limited to the amount paid by you in the previous 3 months of service

8. SERVICE AVAILABILITY

We aim to provide reliable uptime but do not guarantee uninterrupted service.

We may:

Perform maintenance

Update systems

Modify or discontinue features

With or without notice, as needed to maintain system integrity.

9. TERMINATION

Either party may terminate this Agreement:

With 30 days written notice

Immediately for breach of terms

Upon termination:

Access to Services will be revoked

Outstanding balances remain due

Data access may be limited or removed after a reasonable period

10. INTELLECTUAL PROPERTY

All systems, software, APIs, and processes remain the property of Data Connect API.

You may not:

Reverse engineer

Resell access without authorization

Replicate or duplicate the platform

11. WARRANTIES DISCLAIMER

Services are provided “as is” and “as available.”

We make no guarantees regarding:

System uptime

Compatibility with all devices

Performance of third-party integrations

12. INDEMNIFICATION

You agree to indemnify and hold harmless Data Connect API from any claims arising from:

Misuse of the system

Improper installation or configuration

Violations of applicable laws

13. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Wyoming.

Any disputes shall be resolved in the appropriate courts located in Wyoming.

14. MODIFICATIONS

We may update these Terms at any time.

Continued use of the Services constitutes acceptance of updated terms.
